Effective upon account activation. These terms apply to all authorized users accessing the Launch Baseball app, whether through a league or as an individual subscriber.

Please read these Terms of Use carefully before accessing the Launch Baseball app. By logging in or using the app, you confirm that you have read, understood, and agree to be bound by these terms. Access is granted either through your league or via an individual subscription purchased directly from Launch Baseball. These terms govern your use regardless of how you access the App.

1. Provider
The Launch Baseball app is operated by Wanderlust Digital Media Inc., doing business as Launch Baseball (“Launch Baseball” or “Provider”), a company incorporated under the laws of British Columbia, with a registered address of 412-2818 Main Street, Vancouver, BC, V5T 0C1, Canada.

2. The App
Launch Baseball provides the Launch Baseball app (the “App”), a software-as-a-service (SaaS) platform designed to assist volunteer coaches with:
– Planning and organizing practices
– Managing player development
– Accessing coaching resources, drills, and training materials

Access to the App is provided on an annual subscription basis. You may access the App either through a league subscription or by purchasing an individual subscription directly from Launch Baseball. In either case, you are required to comply with these Terms as a condition of use.

3. Subscription Term

3.1 League-Based Access
If you access the App through a league, your subscription term is governed by your league’s annual agreement with Launch Baseball. The league, not you individually, is the contracting party responsible for payment and renewal. Upon expiry, continued access requires the league to renew prior to the end of the current term. Renewal fees are determined at the time of renewal and may differ from current rates.

Note: If your league does not renew, your access to the App will be suspended at the end of the Subscription Term. 

3.2 Individual Subscription
If you purchase access directly, your subscription runs for one (1) year from the date your account is activated (the “Subscription Term”). Your subscription will not renew automatically. To continue access after the end of your Subscription Term, you must purchase a new subscription. Renewal pricing is determined at the time of renewal and may differ from your original rate.

4. Individual Users
In addition to league-based access, the App is available for purchase directly by individuals. If you are purchasing access independently rather than through a league, the following terms apply to you.

4.1 Subscription and Payment
Individual subscriptions are offered on an annual basis. Payment is made via Interac e-Transfer sent directly to Launch Baseball. Your subscription begins once Launch Baseball confirms receipt of payment and your account is activated. Subscription fees for any renewal period are determined at the time of renewal and are not guaranteed to reflect current rates.

4.2 No Refunds
All individual subscription fees are non-refundable. Once payment has been received and your account has been activated, no refunds will be issued for any reason, including early cancellation, non-use, or dissatisfaction with the App. Access will remain active until the end of the paid Subscription Term.

4.3 Account Access
As an individual subscriber, you are the sole authorized user of your account. Your subscription covers access for one individual only and may not be shared or transferred. Launch Baseball provisions your account directly based on the information you provide at sign-up.

4.4 All Other Terms Apply
All other sections of these Terms of Use apply equally to individual subscribers, including Acceptable Use, License Restrictions, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Indemnification. References to “your league” in those sections do not apply to individual subscribers; instead, you are solely responsible for your own compliance.

5. User Information
If you access the App through a league, access is determined entirely by your league, not by Launch Baseball. Your league decides which authorized users may access the App and is responsible for providing Launch Baseball with an accurate list of those individuals. Launch Baseball provisions access based solely on the information supplied by the league.

If you have questions about your league-based access, please contact your league administrator directly. Launch Baseball is not able to grant or modify league-based access outside of what the league has authorized. If you are an individual subscriber, you may contact Launch Baseball directly at hello@launchbaseballapp.com with any access questions.

Launch Baseball uses authorized user information solely for the purpose of provisioning and managing App access, and will not disclose it except as required by law.

6. Acceptable Use
You agree to use the App solely for lawful purposes and in accordance with these Terms.
You must not:
– Share your login credentials with anyone other than yourself as an authorized user
– Reproduce, redistribute, or sublicense the App or any content accessed through it
– Attempt to reverse engineer, decompile, or disassemble any part of the App
– Use the App in any manner that could damage, disable, or impair Launch Baseball’s systems or services

7. License Restrictions
You acknowledge that the App, including all content, drills, methodologies, training materials, and related resources, constitutes proprietary and confidential information of Launch Baseball.
You must not, and must ensure that no one acting under your credentials will:
– Provide access to the App to any individual other than yourself as the authorized user associated with your account;
– Share, distribute, disclose, demonstrate, or otherwise make the App or its content available to any service providers, competitors, training providers, software providers, or any entity offering substantially similar services or products;
– Use the App or its content for benchmarking, competitive analysis, reverse engineering, or development of a competing product or service

Any violation of these restrictions constitutes a material breach of these Terms, allowing Launch Baseball to immediately suspend or terminate your access without notice and to pursue available legal remedies. These obligations survive termination of your access.

Launch Baseball reserves the right to verify account usage and suspend accounts that exceed the scope of the applicable subscription.

8. Intellectual Property
All intellectual property rights in and to the App remain the exclusive property of Launch Baseball. Your use of the App grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for internal coaching purposes during the applicable Subscription Term. Nothing in these Terms transfers any ownership of intellectual property to you.

9. Disclaimer of Warranties and Limitation of Liability

9.1 As-Is Basis
The App is provided on an “as-is” and “as-available” basis. Launch Baseball makes no representations or warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, uninterrupted operation, or error-free performance. While Launch Baseball will use commercially reasonable efforts to keep the App available and functioning, your use is at your sole risk.

9.2 Assumption of Risk: Physical Activity and Injury
Baseball is an inherently physical sport. Use of the App, including any drills, exercises, training programs, or coaching recommendations, involves a risk of physical injury. You, your players, and associated individuals use the App and its content entirely at your own risk.

Launch Baseball and Wanderlust Digital Media Inc. shall not be liable for any injuries, accidents, death, property damage, or other harm of any nature arising from use of or reliance on App content. It is your sole responsibility as a coach to assess the suitability of any drill or activity for your players, ensure appropriate supervision, and exercise independent professional judgment before implementing any content from the App.

9.3 Limitation of Liability
To the maximum extent permitted by applicable law, Launch Baseball and Wanderlust Digital Media Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with these Terms or use of the App. Launch Baseball’s total aggregate liability shall not exceed the total subscription fees paid by you or your league, as applicable, in the twelve (12) months preceding the claim.

10. Indemnification
By using the App, you agree to indemnify and hold harmless Wanderlust Digital Media Inc. dba Launch Baseball, and its directors, officers, employees, contractors, agents, affiliates, successors, and assigns from any claims, liabilities, damages, or expenses (including legal fees) arising out of or related to:
– Your use of the App;
– Any physical injury or harm resulting from use of App content;
– Any breach of these Terms by you; or
– Any violation of applicable law by you

11. Agreement to These Terms
By creating an account, you confirm that you are at least 19 years of age, and you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these Terms, you must not create an account or use the App.
